The EBT Shares are held in a nominee account by Computershare Nominees (Channel Islands) Limited on behalf of the Trustee and will be used to satisfy Awards granted by the Company under its Performance Share Plan (the \"Plan\") as and when they vest/become exercisable in accordance with the rules of the Plan. \nThe EBT Shares rank pari passu in all respects with the existing issued shares of the Company. \nIn accordance with DTR 5.6.1R, following issue, the Company's issued share capital will consist of 479,380,342 ordinary shares of 1 pence each (the \"Ordinary Shares\"), with one vote per share. The Company does not hold any Ordinary Shares in treasury.
