Both Resolutions, as set out in the Notice of General Meeting, were passed by shareholders on a poll. The table below shows the votes cast on each resolution.\nSSE Chairman Richard Gillingwater said: \n\"I am very pleased that SSE's shareholders have passed the two Resolutions relating to the planned SSE Energy Services transaction, and by such an overwhelming margin. We believe that demerging SSE Energy Services and combining it with npower is the right thing for customers and for the energy market as a whole. \n \n\"It will help create a new market model by combining the resources and experience of two established players with the focus and agility of an independent supplier. We now look forward to satisfying the remaining conditions to allow the transaction to be completed.\"\n \n\n\n\n\n\n\nResolution\n\n\nFor\n\n\n% of votes cast\n\n\nAgainst\n\n\n% of votes cast\n\n\nTotal votes cast\n\n\n% of Issued Share Capital Voted\n\n\nWithheld\n\n\n\n\n1.\n\n\nApprove the special dividend to give\neffect to the Demerger\n \n\n\n668,597,044\n\n\n99.94\n\n\n422,262\n\n\n0.06\n\n\n669,019,306\n\n\n65.90\n\n\n3,456,960\n\n\n\n\n2.\n\n\nApprove the waiver of the obligation on innogy to make a general offer for the new company\n\n\n619,543,477\n\n\n92.62\n\n\n49,395,491\n\n\n7.38\n\n\n668,938,968\n\n\n65.89\n\n\n3,537,231\n\n\n\n \nA copy of the resolutions put to shareholders at the General Meeting has been submitted to the Financial Conduct Authority and will shortly be available for inspection on the National Storage Mechanism (NSM) by accessing the following link: - www.hemscott.com/nsm.do \nNotes:\n1.
