Acquisition of Integrity Orthopaedics
Smith+Nephew has acquired Integrity Orthopaedics for an initial US$225 million cash payment plus up to US$225 million in performance-based payments over five years, aiming to strengthen its sports medicine portfolio with the Tendon Seam™ rotator cuff repair technology. This acquisition is expected to be accretive to Group trading profit margin by 2028 and is financed from existing cash facilities, keeping the Group below its leverage target of 2x EBITDA. The transaction, which is expected to close by the end of January 2026, enhances Smith+Nephew's offerings in the substantial and growing rotator cuff repair market, estimated at US$875 million annually.
