Vancouver, British Columbia (FSCwire) - Mr. Ryan Kalt reports that further to an Early Warning Report filed August 21, 2015 (the “EWR”), that he has completed the acquisition of 2,194,620 common shares (the "Common Shares") in the capital of Strike Diamond Corporation ("Strike Diamond")(TSX VENTURE: SRK) since November 10, 2014. 

As a result of the acquisitions detailed below and in the EWR, Mr. Kalt now holds or controls a total of 6,160,033 Common Shares in the capital of Strike Diamond. Based on 30,247,349 common shares issued and outstanding by Strike Diamond as of August 21, 2015, Mr. Kalt’s holdings represent approximately 20.4% of the issued and outstanding capital of Strike Diamond.

During the period of November 11, 2014 to August 21, 2015, Mr. Kalt completed open market purchases through the facilities of the TSX Venture Exchange to acquire ownership of 636,000 Common Shares in the capital of Strike Diamond.  On February 24, 2015, Mr. Kalt acquired 382,500 Common Shares in the capital of Strike Diamond by way of a private placement and on June 9, 2015, Mr. Kalt acquired 880,000 Common Shares in the capital of Strike Diamond by way of a private placement. On March 31, 2015, Mr. Kalt acquired beneficial ownership of 108,844 Common Shares in the capital of Strike Diamond and on June 30, 2015, Mr. Kalt acquired 187,276 Common Shares in the capital of Strike Diamond, both acquired by way of private transaction.

On February 20, 2015 Mr. Kalt was granted stock options entitling him to acquire 350,000 Common Shares (the “Stock Options”) at a price of $0.08 per common share.

The aggregate of the above Common Share acquisitions, and open-market transactions made on August 21, 2015, when combined with the Stock Options, represents a change of approximately 2.0% in control of Strike Diamond Corp. thereby triggering the Early Warning Report.

Mr. Kalt was approved as a Control Person of Strike Diamond on October 7, 2014.

In addition to the above, on January 22, 2015, Mr. Kalt acquired indirect control of a convertible debenture having principal value of $249,701, which if converted in full would represent 4,161,683 common shares in the capital of Strike Diamond Corp. subject to conversion prior to January 4, 2016 and 2,497,010 common shares in the capital of Strike Diamond Corp. if converted thereafter through maturity. If converted, the common shares represented by the convertible debenture would represent 13.8% and 8.3% of the outstanding common shares of Strike Diamond based upon 30,247,349 common shares outstanding as of August 21, 2015.

In his previous Early Warning Report related to Strike Diamond, which is also available on SEDAR and dated November 10, 2014, Mr. Kalt reported the holding of 3,965,413 Common Shares of Strike Diamond, then representing approximately 19.5% of the then issued and outstanding Common Shares.

Other than companies controlled by Mr. Kalt, there are no other persons acting jointly or in concert with Mr. Kalt.
