(\"\n \n Citizen\n \n \") and each of the shareholders of Citizen (the \"\n \n Vendors\n \n \") dated\n \n May 1, 2024\n \n , pursuant to which the Company will acquire (the \"\n \n Acquisition\n \n \") all of the issued and outstanding shares of Citizen (the \"\n \n Citizen Shares\n \n \"), a private\n \n British Columbia\n \n incorporated company, that holds an option (the \"\n \n Option\n \n \") to acquire a one hundred percent (100%) interest in and to eleven (11) mineral claims in\n \n Saskatchewan\n \n known as the Bishop Lake Uranium Property (the \"\n \n Property\n \n \"). The Property is located in\n \n Saskatchewan, Canada\n \n . Citizen holds the Option pursuant to a property sale agreement (the \"\n \n Sale Agreement\n \n \") with Doctors Investment Group Ltd.
