Sirius XM Holdings Inc. (NASDAQ: SIRI) ("SiriusXM") announced today the pricing terms of the previously announced cash tender offer (the "Offer") by its subsidiary, Sirius XM Radio LLC (the "Offeror"), to purchase any and all of the Offeror's outstanding 3.125% Senior Notes due 2026 (the "Notes"). The Offer is made pursuant to an Offer to Purchase and a related Notice of Guaranteed Delivery, each dated February 26, 2026, which set forth the complete terms and conditions of the Offer.
