(\"Habanero\" or the \"Company\") (TSX VENTURE: HAO.V) announces that it has closed a non-brokered a private placement, originally announced March 7 2013, of 28,366,667 units for gross proceeds of $296,750. The private placement consists of $257,500 of non flow-through at $0.01 per unit and $39,250 of flow-through at $0.015 per unit. The flow-through units will consist of one flow-through common shares and one non flow-through share purchase warrant. The non flow-through units will consist of one non flow-through common shares and one non flow-through share purchase warrant. The share purchase warrants for both the flow-through and non flow-through units will be exercisable at a price of $0.05 in the year one and then at $0.10 in years two through five. (the “Offering”). The Offering was conducted in accordance with the TSX Venture Exchange's Bulletin dated August 17, 2012 regarding Private Placements – Temporary Relief from Certain Pricing Requirements as amended on December 12, 2012, and as further amended on April 12, 2013. The units in this private placement will have a hold period that expires on August 27, 2013.Proceeds of the Offering will be used toward repayment and for payments over the next three months as follows: (a) $22,370 in public company fees and expenses; (b) $54,554 in professional fees; (c) $13,461 in general and administrative expenses; (d) $4,900 in finders’ fee; (e) $10,863 for payables for the next three months; (f) $50,000 in Excluded Amounts which will be used towards general and administrative expenses; (g) $633 on the Lezai Gold property; and (h) $139,970 on the Haldane Silver property. There will be no payments made to related parties.
