[{"type":"text","content":"\n RNS Number : 2829Q Scott Wilson Group plc 30 July 2010 \n \n\nFOR IMMEDIATE RELEASE\n \nNOT FOR RELEASE, PUBLICATION OR DISTRIBUTION, IN WHOLE OR IN PART IN OR INTO THE UNITED STATES OR ANY OTHER JURISDICTION WHERE TO DO SO WOULD CONSTITUTE A VIOLATION OF THE RELEVANT LAWS OF THAT JURISDICTION \n \n30 July 2010\n \nRecommended proposals for the acquisition of Scott Wilson Group plc by Universe Bidco Limited a wholly owned subsidiary of URS Corporation \n \n \nResults of Court and General Meetings\n \nOn 30 June 2010, the boards of directors of Scott Wilson Group plc (\"Scott Wilson\") and URS Corporation (\"URS\") announced that they had reached agreement on the terms of a recommended increased cash offer of 290 pence per share (the \"Offer\") for the entire issued and to be issued share capital of Scott Wilson to be made by Universe Bidco Limited, a wholly-owned subsidiary of URS, to be effected by means of a scheme of arrangement under Part 26 of the Companies Act 2006 (the \"Scheme\"). A Scheme Document was posted to Scott Wilson shareholders on 7 July 2010 setting out the terms of the recommended proposals.\n \nA Court Meeting and a General Meeting were held today at the offices of Mayer Brown International LLP, 201 Bishopsgate, London EC2M 3AF to consider and approve the Proposals.\n \nScott Wilson and URS announce that, at the Court Meeting held today, a majority in number of Scheme Shareholders present and voting (either in person or by proxy), representing not less than 75 per cent. in value of relevant Scheme Shares voted in favour of the resolution to approve the Scheme and accordingly the resolution was passed.\n \nAt the General Meeting, also held today, the special resolution put to Scheme Shareholders in order to implement the Scheme was passed by the requisite majority.\n \nResult of Court Meeting\n \nThe number of votes for and against the resolution to approve the Scheme put before the Court Meeting was as follows:\n \n\n\n\n\n\n\n\nNumber of Scheme Shares voted\n\n\nPercentage of Scheme Shares voted (%)\n\n\nNumber of Scheme Shareholders who voted\n\n\nPercentage of Scheme Shareholders who voted (%)\n\n\n\n\nFor\n\n\n \n40,519,992\n \n\n\n99.81\n\n\n351\n\n\n98.60\n\n\n\n\nAgainst\n\n\n \n75,660\n \n\n\n0.19\n\n\n5\n\n\n1.4...
