This announcement (and the information contained herein) does not contain or constitute an offer to sell or the solicitation of an offer to purchase, nor shall there be any sale of securities in any jurisdiction where such offer, solicitation or sale would constitute a contravention of the relevant laws or regulations of such jurisdiction.\n \n \n11 August 2017\n \nSEALAND CAPITAL GALAXY LIMITED (LSE: SCGL)\n(\"Sealand\", \"SCGL\" or \"the Company\")\n \n \nPlacing\n \nSealand today, announces the placing of 20,550,000 ordinary shares of £0.0001 each in the capital of the Company (\"Placing Shares\") to new investors at £0.06 per Placing Share, raising in aggregate, £1,233,000 (the \"Placing\"). \n \nThe Placing is conditional on admission of the Placing Shares to the standard segment of the Official List and to trading on the London Stock Exchange's Main Market for listed securities (\"Admission\").\n \nThe Placing Shares will represent 4.16 per cent. of the enlarged issued share capital of the Company. The Placing Shares will be fully paid and will rank pari passu in all respects with the existing ordinary shares of £0.0001 each in the Company (\"Ordinary Shares\") including the right to receive all dividends and other distributions declared, made or paid after the date of issue. \n \n \nAdmission to trading and listing\n \nThe Company has applied for Admission. It is expected that Admission will become effective and that dealings in the Placing Shares will commence at 8.00 a.m. on 17 August 2017. The total number of Ordinary Shares in issue following completion of the Placing, and the total number of voting rights, will be 494,050,000.\n \nThe above figure of 494,050,000 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Sealand und...
