(TSXV: SFR) (the\n"Company") is pleased to announce a non-brokered private placement of up to\n$900,000 through the sale of up to 9,000,000 flow-through units (the "FT\nUnits") at $0.10 per FT Unit. Up to $750,000 of this financing will be\npurchased by the MineralFields Group.\n\n\nEach FT Unit will consist of one flow-through common share and one-half\nof one two year non-flow-through warrant, with each whole warrant being\nexercisable at a price of $0.20 per share in the first year and $0.30 per\nshare in the second year, subject to forced acceleration in the event the\nCompany's shares close at a price of $0.35 per share in the first year and\n$0.45 per share in the second year for 20 consecutive trading days.\n\n\nA finder's fee of a combination of cash, shares and/or warrants will be\npaid to eligible finders in relation to this financing, all in accordance with\nregulatory policies.\n\n\nThe flow-through proceeds received will be used for work on the Company's\nexploration properties.\n\n\nThis is the third financing between the MineralFields Group and the\nCompany.
