[{"type":"text","content":"\n\n\n\n\nCALGARY, Alberta and DENVER, June 30 /CNW/ -- Storm Cat\nEnergy Corporation (Amex: SCU; TSX: SME) is pleased to announce that the\nCompany's shareholders approved all special and routine business matters\nsubmitted for their consideration at the annual general and special meeting\nheld in Vancouver, B.C. yesterday afternoon.\nShareholders passed a special resolution amending the Articles of the\nCompany to, among other things, create a class of Preferred Shares issuable in\nseries. In addition, resolutions were adopted to: (i) give the directors the\nauthority to seek additional equity financing over the coming year; (ii) adopt\na Restricted Share Unit Plan; and (iii) to amend the Company's Share Option\nPlan to, among other things, increase the number of Common shares reserved for\nissuance under the Plan. Hein & Associates LLP were re-appointed auditors for\nthe ensuing year, and the following persons were elected to the Company's\nBoard of Directors: J. Scott Zimmerman, Michael O'Byrne, Robert D. Penner,\nMichael J. Wozniak, Robert J. Clark, David G. Wight, and Jon R. Whitney.\nFurther particulars about the Company's annual meeting can be found in the\nCompany's management proxy circular dated May 12, 2006.\nAt the Directors' meeting held immediately following the annual\nshareholders' meeting, the Directors appointed the following officers to serve\nfor the ensuing year: J. Scott Zimmerman, President and Chief Executive\nOfficer; Paul Wiesner, Secretary, Treasurer and Chief Financial Officer; Keith\nKnapstad, Vice-President, Operations (USA); and, Don Martin, Vice-President,\nCanada & International Operations. Other routine business was approved at the\nmeeting of the Directors, including the appointment of members of the Audit,\nCompensation, and Nominating Committees, the creation of and appointment of\nmembers to an Executive Committee and the adoption of an Executive Committee\nCharter, and increasing the quorum requirement for Directors meetings.
