(“\n \n \n SRQ\n \n \n ”)\n \n \n \n \n are pleased to announce the\nclosing of the previously announced spin-out transaction, which shall\nbecome effective today, August 10, 2023 at 6:00 p.m. (Eastern time)\n(the “\n \n \n Effective Date and\nTime\n \n \n ”).\n \n \n \n \n Pursuant to the terms of the plan of arrangement\n(\"\n \n \n Arrangement\n \n \n \"), each of the common shares of the Company issued and\noutstanding at the Effective Date and Time (the \"\n \n \n Company Shares\n \n \n \")\nwill be exchanged for:\n \n \n \n \n \n \n 1 new common share of the Company (the\n\"\n \n \n New Company\nShares\n \n \n \"); and\n \n \n \n \n \n \n 0.1 common share of SRQ (\"\n \n \n SRQ Shares\n \n \n \").\n \n \n \n \n \n \n From August 11, 2023 to August 15, 2023, at 5:00 p.m.,\nthe Company Shares will continue trading on the TSX Venture Exchange\n(the “\n \n \n TSXV\n \n \n ”) pending their exchange for New Company Shares and SRQ\nShares. The Company Shares are expected to be delisted from the TSXV\non August 15, 2023 at 5:01 p.m. (Eastern time). The New Company Shares\nare expected to commence trading on the TSXV at the market open on\nAugust 16, 2023. The CUSIP numbers for the New Company Shares and the\nSRQ Shares are 79588X101 and 85224M102, respectively.\n \n \n \n \n Computershare Investor Services Inc.\n(\"\n \n \n Computershare\n \n \n \") will forward Direct\nRegistration Statements (“\n \n \n DRS\n \n \n ”) to each Company shareholder that is\nentitled to receive DRS, representing their allotted number of New\nCompany Shares and SRQ Shares in accordance with the Arrangement.\nLetters of transmittal have been mailed to registered holders of\nCompany Shares, which must be completed and returned to Computershare\ntogether with the share certificates of Company Shares at the address\nspecified in the letter of transmittal, in order for Company\nshareholders...
