(“\n \n \n Sama\n \n \n ”) (TSXV:SME\n \n \n )\n \n \n (\n \n \n OTC:SAMMF)\nwishes to announce that it has\n \n \n \n \n entered into Share Purchase\nAgreements (the “\n \n \n Agreements\n \n \n ”) with various purchasers to sell\n5,625,000 shares (the “\n \n \n Common Shares\n \n \n ) of SRG Mining Inc.\n(“\n \n \n SRG\n \n \n ”), for an aggregate purchase price (the “\n \n \n Purchase Price\n \n \n ”) of\nCDN$3,937,500 (the “\n \n \n Transaction\n \n \n ”). The Transaction closed on May\n17, 2022.\n \n \n \n \n The Transaction is subject to applicable securities\nlaws and regulations of the TSX Venture Exchange.  Immediately prior\nto the Transaction, Sama held direct ownership and control of\n24,805,377 common shares of SRG, representing 21.82% of the issued and\noutstanding shares of SRG. After the closing date, Sama will then own\n19,180,377 common shares of SRG, representing 16.875% of the issued\nand outstanding shares of SRG.\n \n \n \n \n The Common Shares were held by Sama for investment\npurposes.
