[{"type":"text","content":"\n \n \n 1 September 2022\n \n \n \n S4 Capital plc\n \n \n \n \n (\"S4Capital\" or the \"Company\")\n \n \n \n Notification of a transaction by a Person Closely Associated (\"PCA\") of a Person Discharging Managerial Responsibilities (\"PDMR\")\n \n \n \n \n \n The Company received notification on 31 August 2022 that SEF4 Investment SCSp had transferred directly to two investors in SEF4 Investment SCSp an aggregate of\n 1,371,781\n ordinary shares of 0.25p each in the capital of the Company (\"Shares\") (\n 0.24\n % of the entire issued share capital of the Company). These transfers to two investors in SEF4 Investment SCSp represents a conversion of their existing indirect interest in the Shares into a direct interest in the Shares rather than a disposal. SEF4 Investment SCSp is deemed to be a PCA of Daniel Pinto, a Non-Executive Director of \n S\n \n \n 4\n \n \n \n Capital, because \n SEF4 Investment SCSp is managed by Stanhope Capital, of which Daniel Pinto is the Chief Executive\n . Daniel Pinto was not involved in the conversion process which SEF4 Investment SCSp was contractually committed to undertake.\n \n \n \n \n Following the above transfers, SEF4 Investment SCSp continues to hold\n 13,340,169\n Shares, representing approximately\n 2.38\n % of the entire issued share capital of the Company.\n \n \n \n The Notification of Dealing Form can be found below.
