(TSX: RUS) announces that it has entered into an agreement to acquire seven service center locations from Kloeckner Metals Corporation (\"Kloeckner\") for approximately\n \n US$118.6 million\n \n , subject to closing working capital and other normal course adjustments.  The acquisition includes the working capital, real estate, buildings and equipment, along with the operating personnel for the seven locations.  The purchase price is based on the net book value of the working capital which was approximately\n \n $67.1 million\n \n at\n \n June 30, 2025\n \n , plus\n \n $51.5 million\n \n for the property, plant and equipment.\n \n\n\n\n\n\n\n\n\n Russel will acquire Kloeckner's metals service centers in\n \n Dubuque\n \n (\n \n Iowa\n \n ),\n \n Charlotte\n \n (\n \n North Carolina\n \n ),\n \n Suwanee (Georgia)\n \n ,\n \n Houston\n \n (\n \n Texas\n \n ),\n \n Austin\n \n (\n \n Texas\n \n ),\n \n Jacksonville\n \n (\n \n Florida\n \n ) and\n \n Pompano Beach\n \n (\n \n Florida\n \n ).  For the period between\n \n January 1, 2023\n \n and\n \n June 30, 2025\n \n , the seven service centers generated average annual revenues of approximately\n \n US$500 million\n \n and average annual adjusted EBITDA\n \n 1\n \n of approximately\n \n US$20 ...
