(TSXV:RTM) (OTC:RTMFF)\n \n \n (the “Company” or “RTM”) announces that it has\nentered into a purchase and sale agreement dated September 12, 2022\n(the “Agreement”) to sell its 100% interest in the Norwalk gold\nproperty (the “Property”) located near Wawa, Ontario to Kingsview\nMinerals Ltd. (“Kingsview”) for consideration of $50,000 and\n1,800,000 common shares of Kingsview (the “Transaction”).\n \n \n \n \n The Transaction is subject to the approval of the TSX\nVenture Exchange (“TSXV”) and the Canadian Securities Exchange\n(“CSE”).  Should the Transaction not receive TSXV approval by\nNovember 30, 2022, then the Company shall sell 49% interest in the\nProperty to Kingsview for consideration of $25,000 and 800,000 common\nshares of Kingsview, and the parties shall form a joint venture for\nexploration of the Property.\n \n \n \n \n All securities issued will be subject to a statutory\nhold period expiring four months and one day after closing of the\nTransaction.\n \n \n \n \n “The sale of Norwalk allows RTM to pursue other\nopportunities in the gold and battery metals space along with\nmaintaining a significant equity investment in continued exploration\nwithin the Wawa gold corridor,” stated Doug Andrews, B.Sc. The eastern portion of the Property\ncontains 60+ untested near surface geophysical anomalies.
