("RMDI") indirectly acquired\nbeneficial ownership of 2,708,306 common shares ("RMDI Shares") of RMDI\npursuant to a share purchase agreement dated December 20, 2007 whereby RMDI\nacquired all of the issued and outstanding shares of Hammer Equipment Sales\nLimited from the shareholders thereof for cash and shares (the "Acquisition").\n\n\nMr. Campbell is the controlling shareholder of 840545 Alberta Ltd. and\n1367601 Alberta Ltd. which companies together received an aggregate of\n$21,549,941 cash and 2,708,306 RMDI Shares arising from the Acquisition.
