[{"type":"text","content":"\n \n \n RNS Number : 6365F\n Rockfire Resources PLC\n 10 March 2020\n \n \n \n \n 10 March 2020\n \n \n \n \n \n Rockfire Resources plc\n \n \n (\"ROCK\", \"Rockfire\" or \"the Company\")\n \n \n \n \n \n Issue of Fee Shares\n \n \n \n \n \n Director/PDMR Shareholding\n \n \n \n \n \n Rockfire Resources plc (LON: ROCK), the gold and base-metal focused explorer,\n announces that \n 3,530,691 new ordinary shares in the Company (the \"Fee Shares\") have been issued to \n Patrick Elliott \n for his services as Non-Executive Director of the Company for the period from 26 February 2019 to 31 December 2019, in lieu of director fees.\n \n \n \n \n \n The Fee Shares are being issued in accordance with the service agreement between Patrick Elliott and the Company. Under the terms of his service agreement, the Fee Shares became due at the end of each quarter and will be allotted by the Board on an ad-hoc basis. The volume weighted average issue price of the Fee Shares is 0.57 pence per share, calculated using the closing mid-market price per ordinary share in the Company on the final trading day of each quarter. \n \n \n \n \n \n Application has been made for the admission of the Fee Shares to trading on AIM (\"Admission\"). It is anticipated that Admission will become effective at 8.00 a.m. on 13 March 2020. On Admission, Patrick Elliott \n will have an interest in 6,471,867 ordinary shares in the Company, representing approximately 1.02 per cent. of the Company's issued share capital as enlarged by the Fee Shares.\n The FCA notification, made in accordance with the requirements of the EU Market Abuse Regulation, is appended below.\n \n \n \n \n \n Total Voting Rights\n \n \n \n \n \n Following Admission, the total number of ordinary shares and voting rights in the Company will be 632,938,535\n . The Company does not hold any shares in treasury.
