(TSXV:\n \n\n\n\n LITT\n \n\n\n\n ), (“\n \n\n\n\n Right Season\n \n\n\n\n ” or the “\n \n\n\n\n Company\n \n\n\n\n ”) announces that it has completed its\npreviously announced debt settlement pursuant to the terms of a debt\nsettlement agreement with a director of the Company (the\n“Creditor”) dated July 23, 2024 (the “Settlement Agreement”)\npursuant to which the Company issued the Creditor 37,188 common shares\nof the Company (each, a “Share” and, collectively, the\n“Shares”) at a deemed price of $0.96 per Share in settlement of\n$35,700 of outstanding indebtedness (the “Settlement”).\n \n\n\n\n\n\n T\n \n\n\n he\nsecurities issued constitute a Related Party Transaction within the\nmeaning of Multilateral Instrument 61-101 –\n \n\n Protection of Minority Security Holdings\nin Special Transactions\n \n\n (“MI 61-101”).  The\nCompany relied on exemptions from the formal valuation and minority\napproval requirements of MI 61-101 contained in sections 5.5(a) and\n5.7(1)(a) of MI 61-101, as neither the fair market value of the\nShares, nor the consideration paid for the Shares, exceeded 25% of the\nCompany’s market capitalization.\n \n\n\n\n The Company did not file a material change report more\nthan 21 days before the expected closing of the Settlement because the\ndetails were not settled until shortly prior to closing of the\nSettlement and the Company wished to close on an expedited basis for\nbusiness reasons.\n \n\n\n\n About Right Season Investments Corp.\n \n\n\n\n Right Season Investments Corp. is a Canadian Venture\nCapital, Investment and Advisory Firm that strives to actively drive\ninnovation and accelerate growth for its shareholders.
