(TSXV:\n \n \n \n \n LITT\n \n \n \n \n ), (“\n \n \n \n \n Right Season\n \n \n \n \n ” or the “\n \n \n \n \n Company\n \n \n \n \n ”) announces that it has entered into a debt\nsettlement agreement with a director of the Company (the\n“Creditor”) dated July 23, 2024 (the “Settlement Agreement”)\npursuant to which the Company has agreed to issue the Creditor 37,188\ncommon shares of the Company (each, a “Share” and, collectively,\nthe “Shares”) at a deemed price of $0.96 per Share in settlement\nof $35,700 of outstanding indebtedness (the “Settlement”). The\nSettlement is s\n \n \n \n ubject to approval of the\nTSX Venture Exchange.\n \n \n \n \n \n T\n \n \n \n he\nsecurities issued constitute a Related Party Transaction within the\nmeaning of Multilateral Instrument 61-101 –\n \n \n Protection of Minority Security Holdings\nin Special Transactions\n \n \n (“MI 61-101”).
