The Contract has a term of six months and is subject to receipt of the approval of the TSX Venture Exchange (the \"Exchange\"). Under the Contract, the Company has agreed to compensate the Consultant by way of a grant of stock options, subject to regulatory approval, exercisable to acquire up to 300,000 common shares of the Company at $0.05 per share for a period of five years from the date of issuance, and reimbursement of certain approved expenses.
