("RS") in connection with the exercise of rights allocated to Mr.\nMatthews under the rights offering of RS (the "Rights Offering") and pursuant\nto his stand-by obligation under the Rights Offering. Mr. Matthews now\nbeneficially owns or exercises control or direction over, directly and\nindirectly, an aggregate of 20,494,803 Common Shares. This represents an\napproximate 11.14% interest in RS based upon the 183,966,446 Common Shares\ncurrently outstanding, after giving effect to the aggregate number of Common\nShares issued in connection with the closing of the Rights Offering.
