[{"type":"text","content":"\n Brainspark PLC\n11 January 2006\n\n\n\nFOR IMMEDIATE RELEASE 1 11 January 2006\n\n BRAINSPARK PLC\n ('Brainspark' or the 'Company')\n\n Board Appointment\nDennis Bailey has been appointed a Director of Brainspark with immediate effect.\n\nMr Bailey became a member of the London Stock Exchange in 1968, a Partner in\nHichens Harrison & Co, one of the oldest firms of stockbrokers having been\nestablished in 1803, and later a joint owner of the business, which was sold to\nSanlam of South Africa in May 2001. In his 35 years with Hichens, Harrison & Co,\nMr Bailey was engaged in discretionary investment management and later Head of\nCorporate Finance involved in new issues and takeovers. Mr Bailey resigned as\nManaging Director of Hichens, Harrison & Co plc in May 2004. He is now Chairman\nof Financial Fun Limited, a company engaged in investment management support and\ncompany research for takeovers.\n\nIn accordance with the AIM Rules, the following information is provided:\n \n1. Mr Dennis Bryan Bailey is aged 66.\n\n2. Prior to joining the Brainspark Board, Mr. Bailey subscribed for £50,000 of\n Brainspark convertible loan notes, as previously announced, which has been\n converted into 10,869,565 Ordinary Shares in the Company.\n\n3. In April 1993, Inspectors appointed by the Secretary for State for Trade and\nIndustry interviewed Mr Bailey of Hichens in the course of their enquiries\nregarding the affairs of Astra Holdings plc.
