Capitalised terms used below shall have the same meaning as given to them in the Prospectus.\n \n \n \n \n \n On 25 September 2021, Prudential announced the final offer prices for both the Public Offer and Placing in respect of approximately 130.8 million new shares, representing approximately 5 per cent. of its issued share capital.\n \n \n \n \n \n Based \n on the final offer prices for both the Public Offer and the Placing of HK$143.8 per Offer Share, the net proceeds from the Share Offer to be received by Prudential, after deduction of the underwriting fees and other estimated expenses payable in connection with the Share Offer, are estimated to be approximately HK$18.5 billion or US$2.4 billion. \n \n \n \n \nThe approximately 6.5 million Public Offer Shares initially available under the Public Offer have been over-subscribed. Of the approximately 130.8 million total Offer Shares to be allotted under the Share Offer, approximately 6.5 million have been allocated to the Public Offer and approximately 124.2 million have been allocated to the Placing.\n \n \n \n \n \n Dealings in the Offer Shares on the Main Board of the HK Stock Exchange are expected to commence at 9:00 am (Hong Kong time) on Monday, 4 October 2021, subject to approval from the HK Stock Exchange for the listing of and permission to deal in the Offer Shares. \n \n \n The Offer Shares are expected to be admitted to the premium listing segment of the Official List and the Main Market of the London Stock Exchange at 8:00 am (UK time) on Monday, 4 October 2021, subject to approvals from the Financial Conduct Authority and the London Stock Exchange for the listing of the Offer Shares.
