Director Shareholding

Proteome Sciences plc ('the Company') Mr C Pearce, a director, has converted warrants into 642,840 ordinary shares at US$0.75 per share on 31 March 2005. Following this transaction Mr Pearce now holds 5,654,951 ordinary shares in the Company, representing 4.31 % of its issued ordinary share capital as enlarged by the recent share issue. Application will be made for the shares to be admitted to the Alternative Investment Market ('AIM') of the London Stock Exchange plc.
