[{"type":"text","content":"\n \nRNS Number : 5533N Premier Foods plc 01 October 2012 \n\n1 October 2012\n \nPremier Foods plc\n(\"Premier Foods\")\n \nPOSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING TO APPROVE THE PROPOSED DISPOSAL OF PREMIER FOODS' SWEET SPREADS AND JELLIES BUSINESS LOCATED IN HISTON, CAMBRIDGESHIRE\n \nFurther to the announcement made on 23 August 2012, Premier Foods announces that, following approval by the Financial Services Authority on Friday 28 August 2012, a circular (the \"Circular\") relating to the proposed disposal of its sweet spreads and jellies business located in Histon, Cambridgeshire to The Hain Celestial Group, Inc. (\"Hain\") for cash and share consideration of £200 million (the \"Proposed Disposal\") has been posted to shareholders.\n \nThe Circular contains a notice of a general meeting (the \"Meeting\") of Premier Foods to consider and, if thought fit, to approve a resolution authorising Premier Foods to complete the Proposed Disposal. Subject to shareholders approving the Proposed Disposal and to an agreed pre-sale reorganisation being completed, the disposal is expected to complete on 27 October 2012.\n \nThe Meeting will be held at 9:00 am on Thursday 25 October at the London Hilton on Park Lane, 22 Park Lane, London W1K 1BE. \n \nTo view the Circular, please go to the Group's website, www.premierfoods.co.uk.
