ANNOUNCES THE PUBLICATION OF A COMPLEMENTARY NOTICE TO THE\n PROSPECTUS IN ISRAEL\n\n\n\nFebruary 11, 2008 - Plaza Centers N.V. ('Plaza' or the 'Company') announces that\nit had published today in Israel a Complementary Notice to Plaza's prospectus\ndated 3 February, 2008 (the 'Prospectus') in connection with Plaza's offering of\nSeries B Notes (the 'Complementary Notice'). The Complementary Notice provides\nadditional information with respect to Plaza's offerings of Series B Notes and\nconstitutes a part of the Prospectus.\n\n\n\nIn accordance with Plaza's Prospectus and the Complementary Notice, Plaza offers\nthe Series B Notes in a tender based on the annual interest rate of the Series B\nNotes, at up to NIS 720 million Series B Notes, each having NIS 1 par value,\noffered at 100% of their par value, comprised of 720,000 units consisting of NIS\n1,000 par value Series B Notes each (the 'Series B Units'). Series B Units are\noffered by way of a tender based on the maximum annual interest rate, provided\nthat the maximum annual interest rate to be borne by Series B Notes may not\nexceed 5.4%.\n\n\n\nThe tender with respect to Series B Notes will be held on 12 February, 2008\nbetween 8:30 a.m. (Israel time) and 3:00 p.m. (Israel time).\n\n\n\nPlaza has received early commitment offers from classified investors to purchase\n634,000 Series B Units, which constitute approximately 88% of the aggregate\nSeries B Units, offered under the Complementary Notice. For additional\ninformation regarding the early commitment offers of classified investors for\nthe offered Series B Notes, see Plaza's announcement, dated 8 February, 2008.\n\n\n\nThe expected immediate gross proceeds to Plaza from the offerings of Series B\nNotes will be approximately NIS 720 million (approximately €137.68 million). The\naggregate amount that Plaza expects to pay for early commitment fees,\ncoordination and distribution fees in connection with the offering of the Series\nB Notes is approximately NIS 4.73 million and other expenses related to the\noffering estimated at NIS 1.67 million, constituting approximately 0.89% of the\nexpected net proceeds of NIS 720 million from the offering of Series B Notes.\n\n\n\nThe TASE has given its approval ...
