(TSXV: PTFY) (\"Plantify Foods\"\nor the \"Company\") announces\nthe completion of its previously announced rights offering (the\n“Rights Offering”) to eligible holders of its common shares (the\n“Shares”) which expired at 2:00 p.m. (Pacific Time) on December\n31, 2025 (the “Expiry\nDate”).\n\n\nThe Company issued a total of 642,666 Shares at a price\nof $0.12 per Share for aggregate gross proceeds of $77,119.92. A total\nof 92,666 Shares were issued under the basic subscription privilege,\nincluding 0 Shares to insiders of the Company, as a group (the\n“Insider Group”) and 92,666 Shares to all other persons, as a group. In\naddition, a total of 550,000 Shares were issued\nunder the additional subscription privilege, including 0 Shares to the Insider Group and 550,000 Shares to\nall other persons, as a group. To the knowledge\nof the Company, no person became an insider of Plantify Foods as a\nresult of the Rights Offering.\n\n\nAs of the Expiry Date, following completion of the\nRights Offering, Plantify Foods has 12,083,155 Shares issued and\noutstanding.
