Notification of acquisition of own shares in accordance with paragraph 5.5.1 of the FCA's Disclosure Guidance and Transparency Rules

Phoenix Digital Assets PLC (AQSE: PNIX) announces that, as at 30 April 2025 and pursuant to the share buyback programme (the "Programme") announced on 12 August 2024, the Company has acquired in aggregate 23,317,901 ordinary shares of 0.1 pence each ("Ordinary Shares") through Dowgate Capital. These Ordinary shares are held in treasury by the Company and represent 5.02% of the Company's share capital.

Notification of total voting rights in accordance with paragraph 5.6.1 of the FCA's Disclosure Guidance and Transparency Rules

The issued share capital of the Company is 464,750,000 Ordinary Shares, each share carrying the right to one vote, of which 23,317,901 are held in treasury. For reporting purposes under the FCA's Disclosure and Transparency Rules the market should exclude any shares held in treasury and should use the figure 441,432,099 when determining if they are required to notify their interest in, or a change to their interest in the Company. The Company will make further announcements in due course following the completion of any further purchases pursuant to the Programme.
