(the "Company")\n (TSX Venture: JCI.P) announces it has closed its qualifying\n transaction, consisting of the acquisition of all of the issued and\n outstanding securities in the capital of Peak Positioning Corporation\n (the "Acquisition"). The Acquisition was previously announced in a\n press release dated October 6, 2010 and the filing of the Company's\n filing statement in connection with the Acquisition (the "Filing\n Statement") was previously announced in a press release dated January\n 7, 2011.\n\n\nConcurrently with the Acquisition, the Company has completed the private\n placement (the "Private Placement") of 11,792,600 units, at a price of\n $0.12 per unit, for gross proceeds of $1,415,112. Each unit is\n comprised of one common share of the Company (a "Company Share") and\n one half warrant, each whole warrant entitling the holder to subscribe\n for one Company Share at a price of $0.15 during the 12 months\n following its issuance.
