(\"Lanstead\"), together with a related sharing agreement (\"Sharing Agreement\") pursuant to which the Company pledges the gross proceeds of the Lanstead Subscription.\n \nHighlights\n· Subscription for 930,000,000 new Ordinary Shares (the \"Lanstead Subscription Shares\") by Lanstead at an Issue Price of 0.19 pence to raise £1,767,000 (the \"Lanstead Subscription\").\n \nThe Issue Price of 0.19 pence represents a 21% premium to the closing mid-market price (of 0.15 pence) of the Ordinary Shares on 31 July 2023, the latest business date prior to the announcement of the Subscription.\n \n· The £1,767,000 gross proceeds of the Lanstead Subscription will be pledged to Lanstead by the Company pursuant to a Sharing Agreement with Lanstead. The Sharing Agreement, details of which are set out below, entitles the Company to receive back those proceeds on a pro rata monthly basis over a period of 24 months, subject to adjustment upwards or downwards each month depending on the Company's share price at the time relative to t...
