Through the\nAcquisition, the Company has acquired all of the issued and\noutstanding shares of 1381766 B.C. Ltd., the registered owner of the\nCornwall Property, in exchange for ten million common shares of the\nCompany.\n \n \n \n \n \n \n The Cornwall Property has five copper\ntarget areas consisting of pyrite and chalcopyrite hosted in a\nquartz-rich amphibolite. Mineralization is consistent with Besshi or\nCyprus type VMS exhalative sulphides deposited in a mafic volcanic\nenvironment. The South, Dunn Creek, and Dunn Road showings appear to\nbe on the same sulphide-bearing stratigraphic horizon which has been\ntentatively traced along a strike length of over 2km. The North\nshowing is similar in character but appears to be off stratigraphic\ntrend from the other showings.\n \n \n \n \n \n \n Mineralization at the North Showing is\nvisible at surface across an east-west oriented trench over 40 metres\nlong by 2.5 metres wide. Three lithologic units are observed in the\ntrench. Calcareous and volcanic rocks are altered to schist with\nquartzite layers. Mineralization of massive beds of pyrite and\nchalcopyrite are observed.\n \n \n \n \n \n \n Mineralization at the Dunn Creek\noccurrence is observed in sub - outcrop and float material exhibiting\ndisseminated and blebular chalcopyrite and pyrite within a rusty\naltered schist.  Strong copper mineralization is reported in the\nmetavolcanic sequence and assays as high as 3.14% copper were obtained\nfrom the showings.
