Under the terms of the\nagreement, Odyssey will pay Equicom a monthly retainer fee of $6,000 for\nprofessional services. The initial contract term is 6 months. Neither Equicom\nnor any of its principals has an ownership interest, directly or indirectly,\nin Odyssey or its securities, and the Company has not granted Equicom or its\nprincipals any right to acquire such an interest.
