Eastern time on January 8, 2026.\nBased on the final count by Computershare Trust Company, N.A., the depositary for the Tender Offer, 18,996 shares of the Company's 7.0% Series D Cumulative Convertible Perpetual Preferred Stock, par value $0.01 per share, with a $1,000 liquidation preference per share (the \"Shares\") have been validly tendered for purchase in the Offer and not properly withdrawn prior to expiration of the Offer. The Company expects to accept all of these Shares for purchase in accordance with the terms of the Offer at a price of $1,400 per Share plus accrued dividends, for an aggregate cost of approximately $26.9 million excluding fees relating to the Offer.
