(TSXV:NGMD) (\"NuGen M.D.\" or the \"Company\") announces that it has agreed to settle an aggregate of $500,000 of indebtedness owed to an arm's length creditor (the \"Creditor\") with respect to royalty payments due to the Creditor through the issuance of an aggregate of 1,644,736 common shares (\"Common Shares\") of the Company at a price of $0.304 per Common Share (the \"Debt Settlement\"). The Company has elected to settle the indebtedness through the issuance of Common Shares to preserve cash and improve the Company's balance sheet.The Debt Settlement remains subject to receipt of all necessary corporate and regulatory approvals, including the approval of the TSX Venture Exchange.
