Fulcher Limited (\"Fulcher\") each announced today that they have acquired ownership of 500,000 units (\"Units\") and 1,550,000 Units, respectively, of Nova Leap Health Corp. (TSXV: NLH) (\"Nova Leap\"), with its head office at 104-37 Wentworth Street, Dartmouth, Nova Scotia, B2Y 2S9, for an aggregate purchase price of $125,000 and $387,500, respectively ($0.25 per Unit). Each Unit is comprised of one common share of Nova Leap and one half of one common share purchase warrant of Nova Leap, with each whole warrant entitling the holder to acquire one common share of Nova Leap for $0.375 at any time up to February 22, 2020.\n\n\n \nThe 2,050,000 Units were purchased by way of a private placement and were acquired for investment purposes. Each of Precipice and Fulcher may, from time to time, increase or decrease their respective holdings of common shares of Nova Leap, depending on market and other conditions.\n\n\n \nPrecipice acquired ownership of 500,000 common shares forming part of the Units, representing approximately 1.28% of the common shares of Nova Leap issued and outstanding, and 250,000 common share purchase warrants forming part of the Units, which, if exercised, represent approximately 0.64% of the common shares of Nova Leap issued and outstanding. \n\n\n \nFulcher acquired ownership of 1,550,000 common shares forming part of the Units, representing approximately 3.97% of the common shares of Nova Leap issued and outstanding, and 775,000 common share purchase warrants forming part of the Units, which, if exercised, represent approximately 1.95% of the common shares of Nova Leap issued and outstanding. \n\n\n \nImmediately before the acquisition, Precipice and its joint actors owned 4,966,500 common shares and 1,466,250 common share purchase warrants of Nova Leap.
