Section 171 of the Securities Act, R.S.B.C. 1996, c. 418 ¶ 1 On June 6, 2012, the Executive Director issued an order (the Cease Trade Order)under section 164(1) of the Securities Act, R.S.B.C. 1996, c. 418 (the Act) that all trading in the securities of Nouveau Life Pharmaceuticals, Inc. (Nouveau) cease until it files the required records referred to in the Cease Trade Order and the Executive Director revokes the Cease Trade Order. ¶ 2 Nouveau is an OTC reporting issuer under Multilateral Instrument 51-105 Issuers Quoted in the U.S. Over-the-Counter Markets. ¶ 3 Raminder Singh Uppal (Uppal) applied to the Executive Director under section 171 of the Act for a partial revocation of the Cease Trade Order to allow Uppal to sell 631,024 shares of Nouveau (the Shares) as described below. ¶ 4 Uppal has represented to the Executive Director that: 1. Uppal is a resident of British Columbia, 2. Uppal purchased the Shares between March and May of 2012 on the OTC Pink market in the United States, 3. Uppal has never been an insider or control person of Nouveau, and is not related to any current or former insider or control person of Nouveau, and 4. Uppal wishes to dispose of the Shares through a market outside Canada and through an investment dealer registered in British Columbia. ¶ 5 The Executive Director is satisfied that this order is not prejudicial to the publicinterest.¶ 6 The Executive Director orders under section 171 of the Act that the Cease Trade Order is partially revoked solely to allow Uppal to dispose of the Shares, provided that: 1. the trade is made through a market outside Canada, 2. the trade is made through an investment dealer registered in British Columbia, and 3.
