[{"type":"text","content":"\n\n\n\nTORONTO, September 13 /CNW/ - Pursuant to the "early warning"\nrequirements of applicable British Columbia and Canadian securities laws, MLP\nInvestments (Luxembourg), S.a r.l. ("MLP") has prepared this announcement of\nits acquisition of 3,000,000 units of Norsemont Mining Inc. (the "Company") in\na private placement that closed earlier today. Each unit was acquired for a\nprice of C$1.60 and consists of one common share of the Company and half of a\nwarrant to purchase a common share of the Company at an exercise price of\nC$1.95 per common share (which warrants will expire 24 months after issuance).\n\n\nTreating the shares underlying the warrants as common shares held by MLP,\nand assuming receipt of final approval from the TSX to own greater than a 10%\ninterest, MLP's equity position would constitute 4,500,000 common shares or\napproximately 11.5% of the issued and outstanding common shares (including the\nshares underlying such warrants) of the Company.\n\n\nThe shares were acquired for investment purposes only and not with the\npurpose of influencing the control or direction of the Company. MLP may,\nsubject to market conditions, make additional investments in or dispositions\nof shares or other securities of the Company in the future.\n\n\nThe investment manager of MLP is Millennium International Management LP,\nand the managing member of the general partner of such investment manager is\nIsrael A. Englander; as a result either may be seen under applicable Canadian\nsecurities laws to be a joint actor with MLP and/or to have control over the\nshares of the Company owned by MLP.
