In its May\n3, 2023 news release (the “Notice”), the Company announced a delay\nin the filing of\n \n \n \n \n its\n \n \n audited financial statements and\nmanagement's discussion and analysis for the financial year ended\nDecember 31, 2022 (collectively, the \"Annual Documents\").\nThe Company announced that\n \n \n it would not file the\nAnnual Documents by the prescribed legal deadline of May 1, 2023 due\nto the fact that the Company had to make the necessary arrangements\nwith its auditors to complete the audit of its annual financial\nstatements. The Company is working diligently with its auditors to\ncomplete the annual financial statements, with the goal of filing the\nAnnual Documents on or before June 5, 2023.\n \n \n \n \n A management cease trade order was granted by the\nBritish Columbia Securities Commission (the “BCSC”) on May 2, 2023\n(the “MCTO”).\n \n \n The MCTO prohibits the Chief\nExecutive Officer and Chief Financial Officer of the Company from\ntrading in securities of the Company until the Company files the\nAnnual Documents and the BCSC revokes the MCTO. The issuance of the\nMCTO does not affect the ability of persons other than the CEO and CFO\nto trade in the Company's securities.\n \n \n \n \n Pursuant to NP 12-203, the Company must file bi-weekly\nstatus reports in the form of further news releases during the period\nfrom the Notice until the MCTO is revoked. The Company reports that\nsince the Notice: (i) there have been no material changes regarding\nthe information contained in the Notice that have not been disclosed\nin a bi-weekly default status report or in a news release referenced\ntherein; (ii) there have been no failures by the Company ...
