(“Canada Nickel”) whereby Noble and Canada\nNickel will spin-out certain mining claims (the “Properties”) into\na new company to consolidate their interests in large tonnage, low\ngrade nickel projects east of Timmins, Ontario.\n \n \n \n \n The terms and conditions of the LOI between Canada\nNickel and Noble will include:\n \n \n \n \n (i)\n \n \n The creation of a private\nexploration company described herein as “ExploreCo”, whereby Noble\nand Canada Nickel both transfer their interests in mining claims in\nMann Township (the “Mann Property”)\n \n \n \n \n (ii)\n \n \n The transfer from Noble to\nCanada Nickel of certain mining claims and the transfer from Canada\nNickel to ExploreCo of certain mining claims east of Timmins,\n \n \n \n \n (iii)\n \n \n Canada Nickel providing\ninitial flowthrough and hard dollar funding of $5 million from\nexisting cash on-hand to E...
