For further details\nregarding the Claim, please refer to the section entitled\n“Newfoundland Project” of the news release issued by Noble on\nJanuary 17, 2023 (see Figure 1).\n \n \n \n \n Pursuant to the Transaction,\n \n \n Noble is acquiring the Claim through\n \n \n the\nissuance of 25,000 common shares of Noble which will be subject to a\nfour month hold period and payment of $5,000\n \n \n \n \n Canadian dollars\n \n \n in cash. Under the Transaction, the Vendor will retain a 2%\nnet smelter royalty (“\n \n \n NSR\n \n \n ”) with Noble having the right to buy\nback 1% NSR for $500,000 Canadian dollars and the remaining 1% NSR for\n1,000,000\n \n \n Canadian dollars.
