(TSXV: NZ) (\"NZEC\" or the \"Company\") is pleased to announce that, further to its 7 October 2024 news release, it has completed the closing of its previously announced non-brokered private placement (the \"Offering\") of common shares of the Company (each a \"Common Share\"). NZEC issued 1,115,617 Common Shares at a price of C$0.85 per Common Share for gross proceeds of C$948,275.The net proceeds from the Offering will be used to advance the Company's plans regarding the Tariki field, general and administrative expenses and for general working capital. The Common Shares issued pursuant to the Offering were issued under the Listed Issuer Financing ‎Exemption under Part 5A of National Instrument 45-106 - Prospectus Exemptions and are not subject to resale restrictions in Canada in ‎accordance with the applicable Canadian securities laws and the policies of the TSX Venture ‎Exchange (the \"Exchange\"). ‎The Offering remains subject to the final approval of the Exchange.‎This news release does not constitute an offer to sell or a solicitation of an offer to buy nor shall there be any sale of any securities in any jurisdiction in which such offer, solicitation, or sale would be unlawful.
