Effective at the opening of the market on\nAugust 26, 2024, the post-consolidated shares will begin trading under\nthe symbol “NAM”.\n \n\n\n\n The\n \n\n Company\n \n\n will\n \n\n not\n \n\n be\n \n\n issuing\n \n\n fractional\n \n\n shares\n \n\n as\n \n\n a\n \n\n result\n \n\n of\n \n\n the\n \n\n consolidation.\n \n\n Instead,\n \n\n all\n \n\n fractional post-consolidated\n \n\n shares\n \n\n equal\n \n\n or\n \n\n greater\n \n\n than\n \n\n one-half\n \n\n will\n \n\n be\n \n\n rounded\n \n\n to\n \n\n the\n \n\n next\n \n\n whole\n \n\n share.\n \n\n The\n \n\n post-consolidated shares will be assigned a new CUSIP number\n64157G200 and ISIN number\n \n\n CA64157G2009.\n \n\n\n\n The Consolidation was approved by the board of\ndirectors on August 12, 2024. Pursuant to the\n \n\n Business Corporations Act\n \n\n (British Columbia) and the articles of the Company,\nshareholder approval of the consolidation is not required.\n \n\n\n\n A\n \n\n letter\n \n\n of\n \n\n transmittal\n \n\n will\n \n\n be sent\n \n\n to\nthe\n \n\n registered\n \n\n shareholders providing instructions to\n \n\n surrender the share certificates evidencing their\n \n\n pre-consolidated\n \n\n common\n \n\n shares for replacement\n \n\n certificates of NAM\n \n\n representing the\nnumber of post-consolidated common shares they are entitled to as a\nresult of the consolidation.\n \n\n Until surrendered,\neach certificate representing the pre-consolidated common shares will\nbe deemed to represent the number of post-consolidated common shares\nof New Age Metals Inc. that the holder thereof is entitled to as a\nresult of the consolidation.\n \n\n\n\n\n\n About NAM\n \n\n\n\n New Age Metals is a junior mineral ...
