Each common share purchase warrant (a \"Warrant\") will entitle the holder to purchase an additional common share (a \"Warrant Share\") at an exercise price of $0.32 per Warrant Share until June 16, 2018. Nevada Sunrise placed 2,500,000 Units in the Offering for gross proceeds of $500,000. \n\nSecurities issued in the Offering are subject to a hold period until October 17, 2016, during which time the securities may not be traded.
