[{"type":"text","content":"\n \nRNS Number : 6750U Independent Resources PLC 08 April 2016 \n\n8 April 2016\n \n \nIndependent Resources plc (AIM: IRG.L)\n \n(\"Independent Resources\" or the \"Company\")\nProposed Share Capital Reorganisation\nDis-application of pre-emption rights\nand\nNotice of General Meeting\n \nIndependent Resources, the AIM listed oil and gas exploration and production company, announces that it has commenced the process of seeking Shareholder approval to undergo a Share Capital Reorganisation and will today post a Circular convening a General Meeting. \n \nThe purpose of this reorganisation is to reduce the par value of the Company's shares to 0.01p through amendments to the Articles of Association and to seek authority for the disapplication of statutory pre-emption rights for the issuance of new ordinary shares. \n \nA Notice convening the general meeting of the Company convened for 11.00 a.m. on 25 April 2016 has been set out in the Circular. The GM is to be held at the Company's commercial offices at 12 Melcombe Place London, NW1 6JJ for the purpose of considering and, if thought fit, passing the Resolutions. \n \nCertain sections of the Chairman's letter from Circular have been included below and amended for RNS formatting purposes.
