Upon the publication of this announcement via a Regulatory Information Service, this inside information is now considered to be in the public domain.\n \n \nMothercare plc\n(\"Mothercare\", the \"Company\" or the \"Group\")\nResult of Placing and Open Offer\n \nOn 9 July 2018, Mothercare announced its intention to raise gross proceeds of approximately £32.5 million from the issuance of 170,871,885 New Ordinary Shares by way of a Placing and Open Offer at a price of 19 pence per New Ordinary Share.\n \nThe Open Offer closed at 11.00 a.m. on 25 July 2018 in accordance with its terms. Mothercare is pleased to announce that it has received valid acceptances from Qualifying Shareholders under the Open Offer in respect of 133,046,870 New Ordinary Shares, representing approximately 77.9 per cent. of the New Ordinary Shares available pursuant to the Open Offer. The remaining 37,825,015 New Ordinary Shares will be taken up pursuant to the Placing.\n \nThe Placing and Open Offer remains conditional on, amongst other things, the passing of the Resolutions at the General Meeting to be held at 10.00 a.m. today.
