(\"\n \n Dark Horse Capital\n \n \") to provide investor relations services in accordance with TSX Venture Exchange (the \"\n \n Exchange\n \n \") policies.  The Company also announced today that it has entered into an advisory services agreement (the \"\n \n Advisory Agreement\n \n \") with Trinity Atlantic Capital, Ltd. (\"\n \n Trinity Atlantic Capital\n \n \"), an arm's length service provider, pursuant to which Trinity Atlantic Capital will advise MiMedia with respect to Canadian stock exchange matters and business strategy.\n \n\n\n\n\n\n\n\n\n\n Dark Horse Capital – IR Agreement\n \n\n\n Pursuant to the consulting services agreement (the \"\n \n IR\n \n\n Agreement\n \n \") entered into between the Company and Dark Horse Capital, Dark Horse Capital will assist the Company with strategic marketing, press releases, North American roadshows, the Company's overall investor relations strategy and related services.  The IR Agreement has a term of 12 months, which commenced on January\n \n 30\n \n , 2025.  The Company has agreed to pay Dark Horse Capital a fee of\n \n US$30,000\n \n per month, payable monthly in arrears.\n \n\n There are no performance factors contained in the IR Agreement and Dark Horse Capital will not receive any securities of the Company as compensation.  Dark Horse Capital and the Company are unrelated and unaffiliated entities and neither Dark Horse Capital nor any of its principals has an interest, directly or indirectly, in any securities of the Company, or any right or intent to acquire such an interest.  The Agreement is subject to acceptance by the Exchan...
