Total Voting Rights - Replacement

The following amendments have been made to the 'Total Voting Rights' announcement released on 31 May 2024 at 16.05 under RNS No 7156Q.

The number of total voting rights has been corrected to 96,108,782, replacing the previously incorrect diclosure.

All other details remain unchanged.

Total Voting Rights

In accordance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rules ("DTRs"), Mears Group PLC (the "Company") notifies the following:

As at the date of this announcement, the Company's issued share capital consists of 96,108,782 ordinary shares of 1 penny each ("Ordinary Shares"), with one voting right per Ordinary Share. The Company does not hold any Ordinary Shares in Treasury. The total number of Ordinary Shares in the Company with voting rights is therefore 96,108,782.

The figure of 96,108,782 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the DTRs.
