These shares will be allotted and issued in due course upon the exercise of options pursuant to the Company's obligations as follows:\n \n\n286,870 ordinary shares of 1p each in respect of the Mears Enterprise Management Incentives Option Agreements\n \n468,293 ordinary shares of 1p each in respect of the Mears Approved Company Share Option Plan \n \n383,418 ordinary shares of 1p each in respect of the Mears Save As You Earn Scheme\n \n789,242 ordinary shares of 1p each in respect of the Mears Unapproved Share Option Plan\n \n\nThese shares will rank pari passu with the existing issued ordinary shares of the Company.
