Variation of Cease Trade Order

Matchaah Holdings, Inc.
(formerly Gear International, Inc.)

Sections 164 and 171 of the Securities Act, R.S.B.C. 1996, c. 418

¶ 1 On June 18, 2012, the Executive Director ordered, under section 164(1) of the Act, that all trading in the securities of Gear International, Inc. cease until it files the required records and the Executive Director revokes the cease trade order.

¶ 2 On December 21, 2016, Gear International, Inc. completed a reorganization with Matchaah Holdings, Inc. with Matchaah Holdings, Inc. as the surviving corporation.

¶ 3 Matchaah Holdings, Inc. has not filed the required records and the Executive Director has not made an order under section 164 of the Act revoking the cease trade order.

¶ 4 Under section 171 of the Act, the Executive Director varies the order to reflect the change of name from Gear International, Inc. to Matchaah Holdings, Inc.
